Provide as much of the following information as you can:

  • Product name and version number;
  • Your company name;
  • Your account number;
  • Computer operating system version;
  • Other details about your computer system, including RAM, hard drive size and free space, and processor type and speed;
  • A description of the problem, including any error message that might be displayed;
  • Your email address.

ソフトウェア使用許諾契約書

重要 – 必ずお読みください。本ソフトウェア使用許諾契約書(以下、「本契約」といいます)は、お客様(個人、法人を問わず)とExtensisとして業務を行うCelartem, Inc. (以下、「Extensis」といいます)との間に締結される、Extensisが提供するソフトウェア、オンライン電子文書、ならびに今後のすべてのアップデート、バグフィックス、またはパッチなどのソフトウェア製品(以下、「本ソフトウェア」といいます)と関連するすべてのサービスについての法的な契約書です。本ソフトウェアをインストール、複製または使用することにより、お客様は本契約の規定による拘束を受けることに同意したものとします。

1. ソフトウェア使用許諾

1.1 本契約記載の条件に従い、Extensisは、本ソフトウェアのライセンスの適用可能な期間(以下、「契約期間」といいます)における非独占的かつ譲渡不可能な本ソフトウェアの使用権をお客様に許諾します。本ソフトウェアのライセンスで認められる場合、本契約記載の条件に従い、お客様は、本ソフトウェアを使用することをお客様が認可した、雇用者や請負業者(以下、「認定ユーザー」といいます)に本ソフトウェアの使用を許諾することができます。お客様は、本ソフトウェアをコンピュータやデスクトップ、ノートパソコンなど(以下、「コンピュータ」といいます)に、インストールすることができ、本契約に従いお客様に許諾された認定ユーザーのライセンスを同時に稼働するための本ソフトウェアの複製を2つまで保有することができます。お客様に許諾される認定ユーザーの数は、本契約に従ってお客様が適宜購入された本ソフトウェアの製品、ライセンスの種類、認定ユーザー数によって決まります。本ソフトウェアにアクセスできる認定ユーザーの数は、直接または間接(例:多重プログラム、ウェブポータルアプリケーション、その他のデバイスまたはアプリケーションサーバーを通じたものなど)を問わず、いかなる時点でも、お客様がライセンスを得た認定ユーザーの合計数を超えることはできません。
1.2 本ソフトウェアは、Extensisまたはそれぞれのライセンス所有者の未公開ソフトウェア、企業秘密、および極秘情報や機密情報に基づいており、自費で開発された商業目的のソフトウェアです。本ソフトウェアは、48 C.F.R. 2.101 (Oct. 1995) に規定されている「商用物品」であり、48 C.F.R. 12.212 (Sept. 1995) に規定されている「商用コンピュータソフトウェア」および「商用コンピュータソフトウェア文書」からなります。お客様が米国政府のエンドユーザーである場合、本契約に規定されている権利のみを取得します。1.3 お客様は、本ソフトウェアを元に二次的著作物を創作することはできません。お客様は、いかなる第三者に対しても、本ソフトウェアを開示し、アクセスさせ、使用させることはできません。お客様は、関係法令により明示的に許可されている範囲を除き、本ソフトウェアの全部または一部について、リバースエンジニアリング、逆コンパイルまたは逆アセンブルを行うことはできません。お客様は、本ソフトウェアまたは付属する資料において示されている著作権、特許権、営業秘密、商標権、その他の権利または免責文言(以下、併せて「権利告知」といいます)を除去し、隠し、または変更することはできません。お客様は、自らの内部的なバックアップまたはアーカイブのために、複製物に全ての権利告知を維持することを条件として、本ソフトウェアの複製を1回作成することができます。それ以外の目的で本ソフトウェアのコピーや複製物を追加作成することは、電子的に転送することを含めて、違法となります。
1.4 お客様は、本ソフトウェアのライセンスを最初に購入した国以外に移転することはできません。お客様は、Extensisの書面による事前承認なしに、本ソフトウェアを第三者へ譲渡することはできません。お客様は、本契約において明示的に規定されている場合を除き、本ソフトウェアまたはその複製物の全部であるか一部であるかを問わず、使用、複製、修正、変更、翻訳、使用貸借、リース、賃貸借、転貸借、譲渡、販売、移転することはできません。本ソフトウェアや付属のマニュアル等に係る一切の特許権、著作権および営業秘密などの知的財産権は、Extensisとそれぞれのライセンス所有者に留保されています。本契約において明示的に付与されているものを除き、その他全ての権利は、Extensisに留保されています。
1.5 ソフトウェアは、それぞれのライセンス所有者の使用条件に従うオープンソースフォント、ライブラリ、その他のソフトウェアコンポーネント(以下、「オープンソースソフトウェア」といいます)を利用します。オープンソースソフトウェアの使用条件は、オープンソースソフトウェアに付属するExtensisまたはそれぞれのライセンス所有者のオンライン電子文書で公開されています。お客様のオープンソースソフトウェアの利用は、そのオープンソースソフトウェアに関する使用条件に従っていただきます。

2. ソフトウェアアクセス

本ソフトウェアの使用には、起動時における本ソフトウェアのライセンスの認証のため、インターネットへの接続が必要です。本ソフトウェアの機能を全面的に利用可能とするため、また、定期的な本ソフトウェアのライセンスの再認証のため、反復継続的なインターネット接続が必要となります。お客様は本ソフトウェアの使用のため、Extensisアカウントを取得し維持する必要があります。

3. Extensis オンラインサービス

3.1 本ソフトウェアは、Extensisによって主催され運営されるコンテンツや様々なウェブ上のサービス(以下、「Extensis オンラインサービス」といいます)にお客様がアクセスすることを促進します。Extensis オンラインサービスの例として、お客様のフォントファイルやその他のデータ(以下、「お客様のコンテンツ」といいます)の保管などがあります。Extensis オンラインサービスは、Extensisによって主催され運営されるほか、本ソフトウェア内の機能や拡張機能として提示される場合があります。Extensis オンラインサービスは、全ての言語や全ての国の居住者において利用可能となるものではなく、また、Extensisは、いかなる時、いかなる理由においても、Extensis オンラインサービスの利用を変更または廃止することがあります。
3.2 本ソフトウェアは、インストール時や起動時または定期的なお客様のExtensis オンラインサービスへのアクセスを促進するために、告知なく、お客様のコンピュータをインターネットに自動的に接続することがあります。さらに、本ソフトウェアは、(a)本ソフトウェアのライセンスの認証のため、(b)お客様に本ソフトウェアの情報、特徴、機能を追加的に提供するため、(c)お客様のコンピュータにダウンロードしインストールすることが可能となった本ソフトウェアのアップデートを提供するため、(d)Extensisからインストールの試行結果を通知するため、告知なく、お客様のコンピュータをインターネットに自動的に接続することがあります。お客様は、本ソフトウェアのライセンスやExtensisアカウントに関連した情報をExtensisより受け取ることがあります。
3.3 お客様がExtensis オンラインサービスにアクセスする際、Extensisアカウントナンバー、ユーザーネーム、パスワードなどの追加的情報が、Extensisに送信され保管されます。有効な法律やお客様の同意により許可がなされた場合、Extensisは、(a)お客様にExtensis オンラインサービスを促進する処理メッセージを送信すること、(b)プラットフォームのバージョン、本ソフトウェアのバージョン、ライセンスの状態、言語などの情報を利用した本ソフトウェアや他のExtensisの製品やサービスについての情報を提供するために、マーケティング情報を配信することがあります。
3.4 お客様のExtensisオンラインサービスへのアクセスは、アクセス時点における以下の条件に従います。

お客様のExtensisオンラインサービスへのアクセス時に表示される他の付加的な使用条件(以下、「付加的使用条件」といいます)
Extensisは、その時々の裁量により、使用条件、プライバシーポリシー、付加的使用条件をアップデートまたは修正する権利を有し、これらの変更は、Extensisによりインターネット上に情報が掲載されたときに効果を生じます。最新の使用条件、プライバシーポリシー、付加的使用条件に注意し遵守することは、お客様の責任となります。お客様がExtensisオンラインサービスの使用を継続することにより、お客様はこれら最新の条件に同意したものとします。
3.5 お客様のコンテンツをExtensisオンラインサービスに保管する際、お客様は、お客様のコンテンツについて完全に責任を負うことに同意します。お客様のコンテンツの使用、掲載、配付、発行は、Extensisによる保証、推薦、助言、見解または評釈を構成または意味するものではなく、適法性、優良性、安全性の保証をExtensisが行うものではありません。お客様は、お客様のコンテンツに関し適切な権利とライセンスを所有していること、インターネット接続を通じてExtensisオンラインサービスにお客様のコンテンツを保管するために、お客様が著作権使用料無料の権利を非独占的全世界的にExtensisへ許諾していることを表明します。
3.6 Extensis オンラインサービスは、第三者ウェブサイトへのリンクを提供します。これらのリンクは、利便性のみを目的として提供されており、Extensis は理由を問わず、適時、第三者ウェブサイト リンクを廃止する権利を留保します。Extensis は、これらの第三者ウェブサイト、その内容、利用規約、またはプライバシー ポリシーを運用しておりません。Extensis は、かかる第三者ウェブサイトを通じて提供されている製品またはサービスを含むがこれには限定されない、これらの第三ウェブサイトに関し、推奨、約束、表明、保証、または補償を一切行わず、およびこれらに関連する一切の責任を負いません。ユーザーがこのような第三者ウェブサイトへのアクセスまたは使用を決定した場合は、ユーザー自身のリスクにおいてこれを実行します。これらの第三者ウェブサイトおよび関連製品およびサービスへのアクセスまたは使用は、利用規約およびプライバシー ポリシーを含む、第三者ウェブサイトの諸条件と、その製品およびサービスに適用される諸条件によって管理されます。

4. データ使用に関する承諾

インターネット接続やExtensisオンラインサービスを通じて収集された第3条記載の情報に加え、お客様は、Extensisが、本ソフトウェアに関連するアップデート、プロダクトサポート、その他の必要なサービスの提供を促進することを目的として、お客様のコンピュータ、システム、アプリケーションソフトウェア、周辺機器などの技術データや関連情報を、定期的に収集し使用することに同意します。Extensisは、この情報を製品の改善またはお客様へサービスや技術を提供する目的で、個人を特定しない形に限定して使用します。

5. 制限

Extensisは、有効な本ソフトウェアのライセンスやExtensisアカウントと一致しない詐欺的または不正な利用を検出または予防するために、収集された情報を使用することがあります。本ソフトウェアのライセンスの有効性をExtensisが確認できない場合、本ソフトウェアのライセンスが再び有効となるまで、追加的な告知なく、本ソフトウェアは使用できなくなります。お客様がExtensisアカウントを維持し損なった場合は、支払期限の到来した使用料をお支払いいただきます。本ソフトウェアやExtensisオンラインサービスへの詐欺的または不正な利用やアクセスをExtensisが発見した場合、Extensisは、お客様の本ソフトウェアやExtensisオンラインサービスの使用またはアクセスを制限し、本ソフトウェアのライセンスを停止し、後記第9条(契約期間と解除)に従って本ソフトウェアのライセンスを解除する権利を有します。このような制限、停止、解除は、Extensisによる本契約の不履行にはあたらず、Extensisが法律上有する他の権利および救済手段に加えてなされるものです。

6. 監査

Extensisは、本契約の継続的な遵守を確保するために、本ソフトウェアに関連するお客様の記録を検査し監査する権利を有します。ExtensisまたはExtensisの独立した公認会計士は検査や監査をExtensisの費用により実施します。検査や監査は合理的な通知により通常の営業時間内に行われ、不当にお客様の事業活動を妨害するものではありません。検査や監査は頻繁におこなわれるものではありませんが、過去の検査や監査が重大な相違を明らかにしている場合、Extensisは書面による請求により、いつでも検査や監査を行う権利を有します。検査や監査により、本ソフトウェアに関して代金の未払や不正使用が判明した場合、お客様は、それらに対する対価をExtensisへ速やかに支払う義務が生じます。お客様による代金の未払や不正使用が判明した場合の対価は、現行の料金と同じか、5%以上の料金を加えたものとなり、検査や監査に要した費用もお客様が負担することになります。

7. 免責条項と保証

Extensisが提供する本ソフトウェアやExtensisオンラインサービスおよび関連するすべてのサービスは、「現状有姿」として提供されます。Extensisは、本ソフトウェアやExtensisオンラインサービスおよび関連するサービスについて、明示的であるか黙示であるかを問わず、商品性の保証、特定目的適合性の保証、または商取引やその履行、使用や売買の過程で発生するその他の黙示の保証または権利の非侵害の保証を行いません。Extensisは、本ソフトウェアやExtensisオンラインサービスおよび関連するサービスがお客様の業務における特定の結果や要求を満たすこと、中断のない操業がされることや障害のない操業がされることを保証するものではありません。お客様の状況によっては保証に関する特定の法的権利が発生します。ただし、その権利の内容はお客様の居住地に適用される法律によって異なります。

8. 責任の限定

Extensisは、データ、使用権、利益または収益の喪失から生じるいかなる損害、または間接的、特別的、派生的、付随的、懲罰的な損害について、一切責任を負うものではありません。Extensisがかかる損害の可能性を知らされていたとしても同様です。他のあらゆる損害に対するExtensisの責任は、ソフトウェアライセンス条項に基づいて、損害の原因となったソフトウェアに対してお客様が支払った金額を超えないものとします。本ソフトウェアやExtensisオンラインサービスと関連するサービスについてのExtensisのこの責任の限定は、請求の方法に関わらず、契約上の行為であるか過失またはその他の不法行為であるかに関わらず、いかなる場合も適用されるものとします。上記の責任の除外や限定がお客様の居住地に適用される法律で認められない場合には、上記の制約はお客様には適用されません。

9. 契約期間と解除

お客様が本ソフトウェアのサブスクリプションの更新を行わなかった場合、お客様の本ソフトウェアのライセンスおよび、Extensis オンラインサービスへのアクセスは、契約満了時に解除されます。Extensisは、お客様が本契約のいずれかの条項に違反した場合、直ちに本契約により、該当する場合は、本ソフトウェアのライセンスやExtensisアカウント、Extensisオンラインサービスへのアクセスを解除することができます。このような契約の解除が発生した場合、お客様は、本ソフトウェアのあらゆる使用を終了し、また本ソフトウェアと全部であるか一部であるかを問わず全ての複製物を破棄しなければなりません。

10. 輸出

お客様は、Extensisの書面による事前承認および米国または外国政府からの免許および許可を得ることなく、本ソフトウェアまたはその直接の成果物を輸出または再輸出することはできません。

11. 不可抗力

Extensisは、本契約その他に基づく義務の履行を遅滞し、または怠った場合でも、その不履行がExtensisの合理的な支配を超える原因(労働争議、ストライキ、その他の製造または産業上の動乱、不可抗力、洪水、落雷、原料不足、給水制限、設備または通信の不良、地震、災害、戦争、社会的脅威、政府機関による規則または命令など)によって生じた場合には、お客様に対して責任は負いません。

12. 無効な条項

本契約の一部の条項が無効または執行不能な場合であっても、本契約の他の条項には影響しません。また、これらの無効または執行不能な条項が存在しないものとして、本契約は解釈されます。

13. 準拠法

本契約は、抵触法に関する法律本文を除き、米国オレゴン州法および国際物品売買契約に関する国連条約に準拠するものとします。

14. 完全な合意

本契約は、本契約に関する当事者間の完全な了解事項を含み、かつ当事者間の本件に関する以前のすべての合意に優先します。

Celartem, Inc., which does business as Extensis and LizardTech, respects your privacy as a visitor to our websites and use of Celartem Resources (defined below). Our websites include www.celartem.com, www.extensis.com, and www.lizardtech.com (each a “Website” and collectively the “Websites”). Through the Websites, you may access and use one or more Celartem resources including but not limited to online services, product demos, forums, blogs, chat rooms, support site and tech troubleshooting, product and services information, stores, knowledge base articles, accounts, and channel partner and affiliate programs (collectively the “Celartem Resources”). The Websites together with the Celartem Resources are collectively referred to herein as the “Services”.

This document comprises our privacy policy (the “Privacy Policy”) and applies to the Services, as well as the information we collect when you interact with us through social media or other websites and online services. It does not apply to websites and mobile applications offered by third parties that may link to the Services or be linked to or from the Services; please review the privacy policies on those websites and applications directly to understand their privacy practices. This Privacy Policy is: (a) incorporated into our Terms of Use; (b) linked throughout our Websites and Celartem Resources, as appropriate; and (c) referenced in our End User License Agreements and other documents and materials, as appropriate. 1. Information We Collect.

1.1 Information Provided to Us. We may collect information that you provide to us through your use of the Services, such as information that can be used to identify you as an individual such as your name, email address, telephone number, home address, billing information, passwords or other online contact information, and demographic information (such as zip code, age) (collectively, “Personal Information”). The types of Personal Information we collect may vary depending on your use of the Services. We may also obtain Personal Information from our service providers and will handle such Personal Information in accordance with this Privacy Policy. Our service providers may also obtain your Personal Information through your use of the Services, and may collect information on our behalf and, in each case, they are obligated to abide by all applicable data protection laws.

1.2 Information We Collect Automatically. Whenever you access or use the Services, we, as well as our service providers or other third parties, may use a variety of technologies that automatically or passively collect information about how the Services are accessed and used.

(a) Usage Information. Usage Information may include browser type, device type, operating system, application version, the page served, the time and date, the preceding page views, and your use of features or applications in connection with the Services. This information helps us to improve our Services and your interactions with our Services.

(b) Device Identifier. We, as well as our service providers, automatically collect your IP address or other unique identifier (“Device Identifier”) from your computer, mobile phone, tablet or other device (“Device”) you use to access the Services. A Device Identifier is a number that is assigned to your Device when you access our Websites, and our computers identify your Device by its Device Identifier. We may use a Device Identifier to, among other things, help diagnose problems with our servers, analyze trends, track users’ web page movements, help identify you and your interests, and gather broad demographic information for aggregate use.

1.3 Information Collected Through Cookies, Web Beacons, and Other Tracking Technologies. The technologies used to automatically collect information include and are not limited to: cookies (small text files placed on a device when it is used to access the Services), mobile analytics software, and pixel tags (transparent graphic image, sometimes called a web beacon or tracking beacon). We, or our service providers, may place cookies or similar files on your Device for security purposes, to facilitate site navigation, to perform analytics, to personalize your experience while accessing our Services, and to determine: how you search for our Websites, the websites you click on from our Websites or emails, whether and when you open our emails, and your browsing activities across other websites. We may use third-party website analytics tools that collect automated information about visitor traffic on our sites, such as Google Analytics. Google Analytics uses cookies or other tracking technologies to help us analyze how users interact with and use the Websites, compile reports on the websites’ activity, and provide other services related to our Websites’ activity and usage. 1.4 Information from Social Media. If you choose to log in to your account with or through a social networking service, we and that service may share certain information about you and your activities.

2. How We Use Information. We use the information we collect for a variety of business purposes, such as: (a) to respond to any questions and requests you may have; (b) to provide you with access to certain products and services, including those of our affiliates and partners; (c) to verify your identity; (d) to process transactions and track purchase history; (e) to communicate with you about your account and your Service-related activities; (f) to provide you with newsletters, updates, special offers and advertisements; (g) for any purposes which may have been disclosed to you at the time you provided your Personal Information to us; and (h) to detect, investigate, and prevent activities that may violate our policies, be fraudulent, or be illegal. 3. When We Disclose or Share Information. We may share non-Personal Information such as de-identified aggregate data and Usage information with third parties. 3.1 Service Providers. You may, at any time, update, correct, or delete certain Personal Information that you have provided to us by editing your registered user information, writing to us at the physical address set forth below in the section “Contact Information”, or emailing us at privacy@celartem.com. We endeavor to retain your information for as long as your Celartem Account is active or as needed to provide you with certain Services. We will also retain and use your information as necessary to comply with our legal obligations, resolve disputes, and enforce our agreements.

5.2 Marketing Preferences. If you wish to remove yourself from individual communications, including marketing promotions, advertisements, updates and email newsletters, simply click the unsubscribe or subscription management link in the communication. We will comply with your request(s) as soon as reasonably practicable, and within the time period required by applicable law. Please also note that if you choose not to receive marketing-related emails from us, we may still send you important administrative and transactional messages (i.e., service notifications, changes to our terms, conditions and policies) in connection with your Services.

  1. In order to have an effective notification, you must provide our designated agent a written notification substantially containing the following:
    1. A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;
    2. Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works at a single online site are covered by a single notification, a representative list of such works at that site;
    3. Identification of the material that is claimed to be infringing or to be the subject of infringing activity and that is to be removed or access to which is to be disabled, and information reasonably sufficient to permit us to locate the material;
    4. Information reasonably sufficient to permit us to contact the complaining party, such as an address, telephone number, and, if available, an electronic mail address at which the complaining party may be contacted;

  3. The Subscriber may provide a counter notification to our designated agent. To be an effective counter notification, such counter notification must be in writing and provided to our designated agent and substantially contain the following:
    1. A physical or electronic signature of the Subscriber;
    2. Identification of the material that has been removed or to which access has been disabled and the location at which the material appeared before it was removed or access to it was disabled;
    3. A statement under penalty of perjury that the Subscriber has a good faith belief that the material was removed or disabled as a result of mistake or misidentification of the material to be removed or disabled; and
    4. The Subscriber’s name, address, and telephone number, and a statement that the Subscriber consents to the jurisdiction of Federal District Court for the judicial district in which the address is located, or if the Subscriber’s address is outside of the United States, for any judicial district in which we may be found, and that the Subscriber will accept service of process from the person who provided notification or an agent of such person.
  4. Upon receipt of a counter notification containing the information as outlined in Section 3 items (i) through (iv) above, we will:
    1. promptly provide the complaining party with a copy of the counter notification;
    2. inform the complaining party that it will replace the removed material or cease disabling access to it within ten (10) business days;
    3. replace the removed material or cease disabling access to the material within ten (10) to fourteen (14) business days following receipt of the counter notification, provided our designated agent has not received notice from the complaining party that an action has been filed seeking a court order to restrain Subscriber from engaging in infringing activity relating to the material on the Services.

No Agency. No agency, partnership, joint venture, employee-employer or franchiser-franchisee relationship is intended or created by the Terms.

General. The Terms governs your access to and use of the Services. The Terms and any and all disputes in connection with the Terms shall be governed by the laws of the State of Oregon without regard to its conflict of law provisions. Our failure to exercise or enforce any right or provision of the Terms shall not constitute a waiver of such right or provision. If any provision of the Terms is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of the Terms shall remain in full force and effect. This Privacy Shield Policy (this “Policy”) applies to personal information transferred to Celartem, Inc. (Celartem) in the United States from organizations subject to data protection law in the European Economic Area (EEA) (which includes the member states of the European Union (EU) plus Iceland, Liechtenstein and Norway) and from Switzerland. This Policy sets out our practices for collecting, using, maintaining, protecting and disclosing that personal information. DEFINITIONS

For purposes of this Policy, the following definitions shall apply:

“Agent” means any third party that collects or uses personal information under the instructions of, and solely for, Celartem or to which Celartem discloses personal information for use on Celartem’s behalf.

“Celartem Inc.” or “Celartem” means Celartem, Inc. doing business as Extensis, and doing business as LizardTech, and any of its subsidiaries, predecessors and successors in the United States.

“Personal information” means any information relating to an identified or identifiable natural person; an identifiable natural person is one who can be identified, directly or indirectly, in particular by reference to an identifier such as a name, an identification number, location data, an online identifier or to one or more factors specific to the physical, physiological, genetic, mental, economic, cultural or social identity of that natural person. Personal information does not include information that is anonymized or aggregated.

“Sensitive information” means any personal information that reveals race, ethnic origin, political opinions, religious or philosophical beliefs, trade union membership, information that concerns health or sex life, and information about criminal or administrative proceedings and sanctions.

EU-U.S. AND SWISS-U.S. PRIVACY SHIELD PRINCIPLES

Celartem participates in and complies with the EU-U.S. Privacy Shield Framework and the Swiss-U.S. Privacy Shield Framework as set forth by the U.S. Department of Commerce regarding the collection, use, and retention of personal information transferred from organizations subject to data protection law in the EEA and Switzerland to the United States, respectively. Celartem has certified to the Department of Commerce that it adheres to the Privacy Shield Principles. If there is any conflict between the terms of this Policy and the Privacy Shield Principles, the Privacy Shield Principles shall govern. Notice

Celartem receives information about employees of Celartem who are located in the EEA, and which is transferred in the context of the employment relationship. Celartem uses this information for internal employment and human resources purposes. Celartem may receive information from third parties about users of websites and applications in connection with advertising in the EEA and Switzerland. To provide certain product features and customer support, Celartem may receive or have access to data from customers that includes personal information about individuals in the EEA and Switzerland, which may include basic contact information like name and email address, sales lead information, and information related to content creation and use. Celartem uses this information for the provision of the services to its customers, and customer support for such services.

Celartem will subject all personal information received via the Privacy Shield to the EU-U.S. and Swiss-U.S. Privacy Shield Principles. Celartem is subject to the investigative and enforcement authority of the Federal Trade Commission (FTC). Celartem may be required to disclose personal information in response to lawful requests by public authorities. Celartem has potential liability for onward transfers to third parties. Additionally, an individual may be allowed to invoke binding arbitration to resolve disputes under certain limited conditions.

Choice

Celartem will offer EEA and Swiss individuals whose personal information has been transferred to us the opportunity to choose whether the personal information it has received is to be used for a purpose other than the purpose for which it was originally collected or subsequently authorized by the individual. An individual may opt-out of such uses of their personal information by contacting us at the address given below.

Celartem will not use sensitive personal information for a purpose other than the purpose for which it was originally collected or subsequently authorized by the individual unless Celartem has received the individual’s affirmative and explicit consent (opt-in).

Data Integrity and Purpose Limitation

Celartem will use personal information only in ways that are compatible with the purposes for which it was collected or subsequently authorized by the individual. Celartem will take reasonable steps to ensure that personal information is relevant to its intended use, accurate, complete and current.

Transfers to Agents

Celartem may disclose personal information to Agents, including but not limited to, providers of analytical, hosting, payment processing and other support services. Agents may have access to personal information if needed to perform their functions for Celartem. Celartem does not transfer personal information to non-Agent third parties.

Celartem will require its Agents to safeguard personal information consistent with this Policy by contract obligating the agent to provide at least the same level of protection as is required by the EU-U.S. and Swiss-U.S. Privacy Shield Principles. Under certain circumstances, Celartem may bear liability for onward transfers of personal information from the EEA where its Agent processes personal information inconsistent with the EU-U.S. and Swiss-U.S. Privacy Shield Principles, unless Celartem proves that it is not responsible for the event giving rise to the damages.

Access and Correction

Celartem will grant individuals reasonable access to personal information it received pursuant to these Principles. In addition, Celartem will take reasonable steps to permit individuals to correct, amend, or delete such information that is demonstrated to be inaccurate or incomplete. An individual may request to access his or her information, or otherwise correct, amend, or delete his or her information pursuant to the EU-U.S. and Swiss-U.S. Privacy Shield Principles by contacting us at the address given below.

Security

Celartem will take reasonable and appropriate precautions to protect personal information in its possession from loss, misuse and unauthorized access, disclosure, alteration and destruction.

Enforcement

Celartem will conduct compliance audits of its relevant privacy practices to verify adherence to this Policy. Any employee that Celartem determines is in violation of this policy will be subject to disciplinary action.

Dispute Resolution – Privacy Shield

In compliance with the EU-U.S. and Swiss-U.S. Privacy Shield Principles, Celartem commits to resolve complaints about your privacy and our collection or use of your personal information. EEA or Swiss individuals with inquiries or complaints regarding this Policy should first contact Celartem at the address given below. Celartem will investigate and attempt to resolve complaints regarding use and disclosure of personal information by reference to the principles contained in this Policy.

Celartem has further committed to refer unresolved privacy complaints under the EU-U.S. and Swiss-U.S. Privacy Shield Principles to an independent dispute resolution mechanism, the BBB EU PRIVACY SHIELD, operated by the Council of Better Business Bureaus. Under certain limited conditions, an individual may be able to invoke binding arbitration as provided under the Privacy Shield to address an otherwise unresolved complaint.

Where applicable to the employment relationship, Celartem agrees to cooperate and comply with the EEA and Swiss data protection authorities (DPAs) regarding the unresolved complaints of employee of European-affiliated companies who are located in the EEA and Switzerland. LIMITATIONS & CHANGES

Adherence by Celartem to the EU-U.S. and Swiss-U.S. Privacy Shield Principles may be limited (a) by the exception for personal information that is gathered for publication, broadcast, or other forms of public communication of journalistic material as well as information found in previously published material disseminated from media archives; (b) to the extent required to respond to a legal obligation; (c) to the extent necessary to respond to requests by authorities; and (d) to the extent expressly permitted by an applicable law, rule or regulation.

This Policy may be amended from time to time, consistent with the requirements of the EU-U.S. and Swiss-U.S. Privacy Shield Principles. The amended Policy will be made publicly available via Celartem’s website.
